ORIGINAL AMENDMENT NO. 1 TO AMENDED AND RESTATED AGREEMENT FOR PROFESSIONAL SERVICES (West Coast Code Consultants, Inc.) This Arflqndment No. 1 is entered into and effective as of the J day of /V , 200 extending and amending the Amended and Restated Agreement for Profe sional Services dated the 12�h day of May, 2016 (the "Agreement') by and between th City of Redwood City, a charter city and municipal corporation of the State of Califor is ("City"), and West Coast Code Consultants, Inc., ("Consultant') (collectively, the "Pa ies") for Building Inspection and Plan Review Services. RECITALS A. On August 12, 2015, the Parties executed an Agreement for Professional Services (the "Original Agreement'); and B. On May 12, 2016, the Parties executed an Amended and Restated Agreement for Professional Services (the "Agreement'); and C. The Parties have negotiated and agreed to amendments to the Agreement as described below. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement, as may have been amended from time to time, is hereby extended for a period of one year ending on June 30, 2018 and Consultant will be paid a not to exceed amount of five hundred thousand dollars ($500,000.00) for services performed under Amendment No. 1, for an aggregate amount of one million two hundred and fifty one thousand dollars ($1,251,000.00). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 2. All other provisions of the Agreement, including the Fee Schedule in Exhibit B of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
