ORIGINAL <br />AMENDMENT NO. 3 TO AMENDED AND RESTATED AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />(WEST Coast Code Consultants, Inc.) <br />This Amendment No. 3 is entered into and effective as of the &rpday of <br />AAnAAAmA 2018 amending the Amended and Restated Agreement for Professional <br />ices datob the 12th day of May, 2016 (the "Agreement") by and between the City of <br />wood City, a California charter city and municipal corporation ("City"), and West <br />Coast Code Consultants, Inc., ("Consultant') (collectively, the "Parties") for Building <br />Inspection and Plan Review Services. <br />RECITALS <br />A. On August 12, 2015, the Parties executed an Agreement for Professional <br />Services (the "Original Agreement'); and <br />B. On May 12, 2016, the Parties executed an Amended and Restated <br />Agreement for Professional Services (the "Amended Agreement'); and <br />C. On May 30, 2017, the Parties executed Amendment No. 1 to the Amended <br />and Restated Agreement for Professional Services (the "Amendment No. 1"); and <br />D. On October 2, 2017, the Parties executed Amendment No. 2 to the <br />Amended and Restated Agreement for Professional Services (the "Amendment No. 2"; <br />the Original Agreement, Amended Agreement, Amendment No. 1 and Amendment No. 2 <br />are collectively referred to as the "Agreement'); and <br />E. The Parties have negotiated and agreed to amendments to the Agreement <br />described below. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. The Agreement is hereby further amended. The Consultant will be paid a <br />not to exceed amount of Three Hundred and Forty Nine Thousand Dollars <br />($349,000.00) for services performed under this Amendment No. 3, for an aggregate <br />amount of Two Million and One Hundred Thousand Dollars ($2,100,000.00). <br />Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br />to include hours performed, hourly rates, contract balance, and related activities and <br />costs for approval by City. <br />2. All other provisions of the Agreement, including the Fee Schedule in <br />Exhibit B of the Agreement, will remain in full force and effect. <br />3.
