THIS AMENDED AND RESTATED AGREEMENT FOR PROFESSIONAL SER S (AGREEl��NT� is made and entered into as of the day of ,2016,by and between the CTTY OF REDWOOD CTTY,a er city and municipal corpo 'on of the State of California ("City"), and CSG CONSULTANTS, INC. a company("C tant"),with reference to the following facts and intentions: RECITALS A. City requires the professional services of a building inspection and pian review services consultant. B. Consultant has the necessary e�erience in providing such professional services and submitted a praposal to the City to provide said seivices. C. City selected Consultant to provide said services and the parties entered into an Agreement for Professional Seivices(CSG Consultants Inc.)on or about August 12,2015,which expires on 7une 30,2016 unless e�ctended by written amendment("Original AgreemenY'). D. City and Consultant desire to extend the Original Agreement and amend the teims and conditions to update the compensation cap,revise the fee schedule,and clarify the procedure for awarding task orders for specific plan review services. E. This Agreement is intended to amend and restate the Original Agreement and shall supersede said agreement in its entirety. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein,the Parties agree as follows: AGREEMENT 1. Sco�of Work. l.l Types of Services. City retains Consultant to perform, and Consultant agrees to render, the type of services (the "Services") that are defined in attached Exhibit "A," which is incoiporated herein by reference. In the event of a conflict between the provisions of Exhibit"A" and the teims of this Agreement, the terms of this Agreement shall prevail. City shall have the right to modify the Services, including but not limited to, the right to delete types of Service in whole or in part,upon providing written notification to Consultant. 1.2 Performance of Services. Consultant shall perform the Services at the direction of the City's project administrator, which shall be the Building Official or designee ("Project Administrator"). Those Services that Consultant shall perform at City offices during business hours shall be referred to herein as "On-Site Services."
