CZIOWEL <br /> AMENDED AND RESTATED AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Shums Coda & Associates, Inc.) <br /> THIS AMENDED AND RESTATED AGREEMENT FOR PROFESSIONAL <br /> SERVICE (AGREEMENT) is made and entered into as of the 2,day of <br /> 4 , 2016, by and between the CITY OF REDWOOD CITY, a charter city and <br /> municipal corporation of the State of California ("City"), and SHUMS CODA & ASSOCIATES, <br /> INC. a company ("Consultant"), with reference to the following facts and intentions: <br /> RECITALS <br /> A. City requires the professional services of a building inspection and plan review <br /> services .nsultant. <br /> B. Consultant has the necessary experience in providing such professional services <br /> and submitted a proposal to the City to provide said services. <br /> C. City selected Consultant to provide said services and the parties entered into an <br /> Agreement for Professional Services (Shums Coda & Associates, Inc.) on or about August 13, <br /> 2015, which expires on June 30, 2016 unless extended by written amendment ("Original <br /> Agreement"). <br /> D. City and Consultant desire to extend the Original Agreement and amend the terms <br /> and conditions to update the compensation cap, revise the fee schedule, and clarify the procedure <br /> for awarding task orders for specific plan review services. <br /> E. This Agreement is intended to amend and restate the Original Agreement and shall <br /> supersede said agreement in its entirety. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> AGREEMENT <br /> 1 . Scope of Work. <br /> 1 . 1 Types of Services. City retains Consultant to perform, and Consultant agrees to <br /> render, the type of services (the "Services") that are defined in attached Exhibit "A," which is <br /> incorporated herein by reference. In the event of a conflict between the provisions of Exhibit "A" <br /> and the terms of this Agreement, the terms of this Agreement shall prevail. City shall have the <br /> right to modify the Services, including but not limited to, the right to delete types of Service in <br /> whole or in part, upon providing written notification to Consultant. <br /> 1 .2 Performance of Services. Consultant shall perform the Services at the direction of <br /> the City's project administrator, which shall be the Building Official or designee ("Project <br /> Administrator"). Those Services that Consultant shall perform at City offices during business <br /> hours shall be referred to herein as "On-Site Services."
