ORIGINAL <br />AMENDMENT NO. 1 TO AMENDED AND RESTATED AGREEMENT <br />FOR PROFESSIONAL SERVICES <br />(Shums Coda & Associates, Inc.) <br />This Ame ent No. 1 is entered into and effective as of thea b day of <br />20t extending and amending the Amended and Restated <br />Agreement for Professt nal Services dated the 12th day of May, 2016 by and between <br />the City of Redwoodity, a charter city and municipal corporation of the State of <br />California ("City"), a d SHUMS CODA & ASSOCIATES, INC., ("Consultant") <br />(collectively, the "Parties") for building inspection and plan review services. <br />NXdI111FAI&I <br />A. On the 13th day of August, 2015, the Parties executed an Agreement for <br />Professional Services (the "Original Agreement"); and <br />B. On the 12th day of May, 2016, the Parties executed an Amended and <br />Restated Agreement for Professional Services (the "Agreement"); and <br />C. The Parties have negotiated and agreed to amendments to the Agreement <br />as described below. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period of one year ending on June 30, 2018 and Consultant will <br />be paid a not to exceed amount of three hundred thousand dollars ($300,000.00) for <br />work performed under Amendment No. 1, for an aggregate of eight hundred and eighty <br />one thousand dollars ($881,000.00). Consultant will provide City, on a monthly basis, <br />copies of invoices sufficiently detailed to include hours performed, hourly rates, and <br />related activities and costs for approval by City. <br />2. All other provisions of the Agreement, including the Fee Schedule in <br />Exhibit B of the Agreement, as may have been amended from time to time, will remain <br />in full force and effect. <br />3. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, will include <br />coverage for this Amendment. <br />4.
