ORIGINAL AMENDMENT NO. 2 TO AMENDED AND RESTATED AGREEMENT FOR PROFESSIONAL SERVICES (Shums Coda Associates, Inc.) This Amendment No. 2 is entered into and effective as of the N day of 'F66evRPI , 2018, amending the agreement dated the 12"' day of May, 2016 by and between the City of Redwood City, a charter city and municipal corporation ("City"), and SHUMS CODA ASSOCIATES, INC., a California corporation ("Consultant") (collectively, the "Parties") for building inspection and plan review services. RECITALS A. On August 13, 2015, the Parties executed an Agreement for Professional Services (the "O rig inaIAgreement"); and B. On May 12, 2016, the Parties executed an Amended and Restated Agreement for Professional Services (the " Agreement'); and C. On May 30, 2017, the Parties executed Amendment No. 1 to the Amended and Restated Agreement for Professional Services (the "Amendment No. 1"); and D. The Parties have negotiated and agreed to amendments to the Agreement described below. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The Agreement is hereby further amended. The Consultant will be paid a not to exceed amount of Two Hundred Thousand Dollars ($200,000.00) for services performed under this Amendment No. 2, for an aggregate amount of One Million and Eighty One Thousand Dollars ($1,081,000.00). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, contract balance, and related activities and costs for approval by City. 2. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment.
