. , ' � : <br /> Cansuitant or Consuitant's affected empioyees, agents, or subcantrac#ors wiq compiete <br /> and file with the City Clerk those schedules specified by City and contained in the <br /> Statement of Ecanomic interests Form �00. <br /> Consuitant, for Gonsultant and on behatf of Consultant's agents, employees, <br /> subcontractors and consultants wanants that by execution of this Agreement, that they <br /> have no interest, present or contemplated, in the projects affected by this Agreement. <br /> Consultant further warrants tha# neither Consuttant, nor Consultant's agen#s, <br /> emplayees, subcontractors and consultants have any ancillary real property, business <br /> in#erests or income that wiil be affected by this Agreement or, aitemativety, that <br /> Consuttant will file with City an affidavit disclosing this interest. <br /> 18. Generai Compliant�e with Laws. Consultant will keep tully infonned of federai, <br /> state and locai laws and ordinances and regulations which in any manner afFect those <br /> employed by Consuttant, or in any way affect the performance of the Services by <br /> Consultant. Consultant wiit at all times observe and comply with these laws, ordinances, <br /> and regulations and wiii be responsibie for the c:ompliance of Consultant's Services with <br /> atl appiicabie laws, or�dinances and regulations. <br /> 19. Discrimination and Harassment Prohibited. Consuftant will comply with all <br /> applicable iocai, state and federal laws and regulations prohibiting discrimination and <br /> harassment. <br /> 2Q. Termination. in the event of the Consultant's failure ta prosecute, deliver, or <br /> perform the Services, City may #erminate this Agreement for nonper#orman+ce by <br /> notifying Consuitant in writing pursuant to the notice provisians of this Agreemen#. <br /> If City decides to abandon or postpone the work or services c+�ntempla#ed by this <br /> Agreemen#, City may terminate this Agreement upon written notice to Consultant <br /> pursuant to the notice prouisians o# this Agreement. Termination will be effective <br /> immediately upon noti�cation. <br /> Either Party upon tendering thirty (3Q} days written notice to the other par#y may <br /> temninate this Agreement. <br /> Within 10 days of#ermination Consultant will assembte the work product without charge <br /> and put it in order for proper fiiing and closing and deliver it to City. Consultant wiiM be <br /> paid for work perfarmed up to the termination date; however, the total will no# exceed <br /> the fump sum fee payable under this Agreement. City wilf make a determma�ian of firtal <br /> payment based upon the value of the work product delivered ta City and the percentage <br /> af the services performed. <br /> 21. Covenants against Contingent Fees.
