Audit. Bank's Internal Risk Parameters. Bank establishes intema[ �isk parameters to identify out-of- <br /> pattern or suspect transactions and protect Company and Bank from potential losses. These <br /> paraniefers may include without limitation limits on debit and credit settlements on a sing{e <br /> Business Day and/or over multiple consecutive Business Days. Bank reserves the right to pend <br /> . or defete a transaction, batch, or Fi{e in forward origination exceeding the applicab(e parameters <br /> as Bank would if Bank had reason to believe same had nat been du{y authorized or should not <br /> be honored for Company`s or Bank's protection. � <br /> 14. Company's Agents. Company will certify to Bank the identity of any person Company has <br /> authorized to act as its agent with respect to fhe Services. Any such person is authorized to, <br /> " � -without limitation, originate, receive, retum,adjust, carrect, cancef, amend and fransmit Entries <br /> and Files�n Company's behalf and elect the security procedure used to authenticate <br /> Company's Ent�ies and Files. Bank shafl be able to conclusively presume that such agency <br /> continues until Bank receives, and has a reasonable opportunity to act on,written notice to the <br /> contrary. Bank may rely on instructions received from such persons and need not make any <br /> inquiries to confirm that the instructions are within the scape af the agency. _ <br /> '[5. Currency Conversion. � � <br /> 15.1. With respect to credit Entries Bank agrees to originate in the currency of a designated <br /> foreign government or intergovernmental organizatian ("Foreign Currency"), Bank will <br /> convert the amount to be transferred from U.S. dolfars (�USD") ta the Foreign Currency <br /> at Bank's selt rate for exchange In effect on the Business Day the Entry is trat�smifted by <br /> Bank to the ACH or gateway operator. If the financial institution designated to receive <br /> the funds daes not pay the receiver specified in the Entry, or if�e Entry is subsequently <br /> � determined ta be erroneaus, Bank will not be liabfe for a sum in excess of the amount of. <br /> • the original Entry after it has been converted from the Foreign Currency to USD at <br /> Bank's buy rate for exchange at the time the Entry is returned to Bank. . <br /> 15.2. Wifh respect to debit Ent�ies Bank agrees to originate in a Foreign Cu�rency, Bank wi11 <br /> convert the amount of each Entry from the Foreign Currency to U.S. Dotlars at�Sank's <br /> buy rate for exchange in effect on the settlement date of the Entry.
