If such renewals and modifications are developed to expire before the <br /> 45`'' year, then the Parties will meet again and repeat the renewal process. Such terms subsequent <br /> to the Initial Term shall be hereafter referred to as "Renewal Terms" and shall be developed in <br /> accordance with the provisions of Sections IX-A, IX-B, and IX-C below. All obligations of the <br /> City under this Agreement shall automatically terminate 45 years after the Project Opening. <br /> A. Meet and Confer. <br /> Commencing approximately one (1) year prior to the conclusion of the Initial Term or <br /> any Renewal Term which concludes prior to forty-five (45) years after the Effective Date, <br /> the Parties and Century shall meet and confer with the objective of reaching agreement <br /> upon mutually acceptable modifications of this Agreement to be made effective upon the <br /> expiration of the Initial Term or any Renewal Term. <br /> 1. During such meet and confer process, discussions shall focus on whether <br /> the provisions of this Agreement are advisable to ensure that Cinema patrons aze <br /> able to park in accordance with the intent of this Agreement. <br /> 2. To facilitate such evaluation, at the request of any Party or Century, the <br /> City shall commission an objective survey of normal parking practices of <br /> downtown cinemas in San Mateo and Santa Clara counties ("Cinema Parking <br /> Survey"), which survey results shall be utilized by the Parties and Century in <br /> good faith to attempt to reach agreement on appropriate modifications of this <br /> Agreement to be implemented with respect to the Renewal Term. The Cinema <br /> Parking Survey shall include: <br /> a. Appropriate parking time limits for Cinema and non-Cinema <br /> patrons, <br /> b. Appropriate charges, if any, for parking, and <br /> c. The use of parking validation systems. <br /> 3• Any Renewal Term brought about by the meet and confer process shall <br /> last as long as both Parties agree is necessary, insofar as such period isn't longer <br /> than 45 years from the Effective Date. <br /> B. Mediation. <br /> If the Parties and Century are unable to agree on modifications to this Agreement within <br /> ninety (90) days of commencement of the meet and confer process described in Section <br /> IX-A above, any Party or Century may request mediation. Each of the Parties hereby <br /> agrees to participate in such mediation and to cooperate in good faith in connection <br /> therewith. Any Renewal Term brought about by the mediation process shall last as long <br /> as both Parties agree is necessary, insofar as such period isn't longer than 45 years from <br /> the Effective Date. <br /> Atty/Agr/Agr.194 <br /> 062404 12 <br />
