�""�"�IN�L <br /> TELECOMMUNICATIONS <br /> ACCOUNT AGREEMENT <br /> This Telecommunications Account Agreement ("Agreement '� is made as of <br /> the 6th day of August 2015 ("Effective Date"), by and between U.S. TelePacific <br /> Corp., a California corporation, dba, TelePacific Communications, 515 S. Flower <br /> Street, 4�1 Floor, Los Angeles, CA 90071-2201 ('TelePacific") and City of <br /> Redwood City, a Charter City in California, 1017 Middlefield Road, Redwood, City, <br /> CA 94063 ("Customer"). <br /> This Agreement modifies the attached Terms and Conditions as follows: <br /> 1. Based on the volume of Services ordered by Customer and the <br /> competitive conditions in the marketplace for telecommunications services, <br /> TelePacific hereby agrees to provide Services to Customer pursuant to Terms and <br /> Conditions and rates applicable to the Agreement as modified below based upon <br /> Customer's commitment to a one (1) year term contract ("Contract Term'�, and other <br /> fees and charges set forth in the Agreement, which is different from those Terms and <br /> Conditions provided for those same Services to others. <br /> 2. The contracted services shall not exceed $60,000 in total billing for <br /> the one (1 ) year term, which includes monthly recurring charges, surcharges, <br /> government fees and taxes in addition to limited usage overages, during the <br /> Contract Term. <br /> 3. The first sentence of subsection (b) of Section 1 of the attached Terms <br /> and Conditions of the Agreement is herebydeleted. <br /> 4. At the end of subsection (d) of Section 1 of the attached Terms and <br /> Conditions the following is added: 'TelePacific must notify Customer in writing at <br /> least sixty (60) days prior to changing technology to allow Customer to analyze the <br /> change and determine its impact upon Customer's operations and costs. If such <br /> change adversely impacts Customer's operations or costs, Customer reserves the <br /> right to challenge the change and delay the implementation until such time as <br /> Customer can investigate and affect alternative solutions. Customer may also <br /> terminate the Agreement, without incurring termination charges at such time if <br /> altemative solutions are in Customer's best interest." <br /> 5. Subsection (i) of Section 6 of the attached Terms and Conditions is <br /> replaced with the following: <br /> 'Notices. All notices from you to us m ust be in writing and delivered by <br /> certified mail, retum receipt requested or by Federal Express or other similar <br /> expedited delivery service to: <br /> U.S. TelePacific Corp., Attn.
