� EXHIBiT"A" SCOPE OF SfRY10ES 1. The Site. For purposes of ihis Agreement,the Site shall refer#o one large wrdtl murai on the l�ack af the Undenground f+ub {265Q Broadway} as part of the Perry StreeUCommercia! Way Project in Redw+�d Clty,Cal�famia,depicted in the attached ptxa#ograph trer�ein in Exhibit A. 2. Scope of Services. Artist shall design, organize and appiy mural ad paint(the "Wo�lc"j described below upan the Site. The Waric is hereinafter referrec4 to as the"Speak Easy Theme". City shaN provide a UV anU-grafflti coating over the W ork within one week of application,weather pertnitting. City shail provide hydraulic lift tar d�e ertist. City shall provide ail necessary approva�s fw the installation of the W aric, inciuding an e�roachment pemnirt,if necassary,for Artlst's use of public rghts-af-way for instaltstion of the W prk, at no cost to ttre Artist. Artist shail not be held responsibie for any delay caused by the actions ar failure to act of Cit�s office�'"s agents ar employ�ees. 3, Campensation. The totat fee for the design and installation of the Work will be $18,140. Thi� amount shall canstitute full compensatian for all serviees,mate{ials and fees to be p+erformed or fumished b�r Artist as described in Sectian 2,Scope of Services. Such payrtnent shal!be full campensation for all work performed and services rendered,for all supervision, labar, supplies, materials, equipment or use 4hereof, taxes, and far al! other necessary incidentals,including tranSportation of the W ark io the designated s�te. In the event ihe Artist incurs costs in excess of the tatal p�ice, the Artist shatl pay such excess for hislher own funds,and the Gttyr sfiall not t�required to pay any part of such excess,and the Artist shail have no claim against the City on accaunt#hereof. No paymeni to the Artist for any work perFormed ar sen+ices rendered shail canstitute a waive� or relsase by the City of any claims,rights,or remedies it may have agair►st the Artisf under this AgtBement or by law,nor shall such payrrtent constitute a r�raiver,remission,or dischar+�e by the City of any failure or fault of the Artist to satisfactarify perfo�m the W ork as required under this Agreement. 4. Time of Performance, Artist shall cnordi�ate commencement, instellation, and cwmpletion of the Worlc wi#h the representative asstgned as project caoM[nator from the City Nianager's Office cu Parks Department. The Work shall be in place no later than September 1, 2Q15 weather�rmi#ing. Artist w�i immediateiy notl#y the City of any delay that occurs or is antidpated in the da#e of delivery installation or comple#ion. The completion date for the W ark may be extended for a �easonaWe amount of time as a resutt of ciroumstances and events beyond the control of Artist or upon written agreement by the Partles. 5. Approvais. The Artist shaii provide designated representatives of#he City the oppattunity to�eview inspect, and approve the W ark's progress at each of th�designated times and stages listed b+elow: a.
