2. Assumption. Assignee hereby accepts, assumes and agrees to be bound by and <br /> timely perform and discharge all of the duties, responsibilities, obligations, agreements, and <br /> covenants of Assignor under the Landscape Maintenance Agreement, arising from and after the <br /> Effective Date. <br /> 3. Further Assurances. Assignor and Assignee shall properly perform, execute and <br /> deliver any and all acts, documents, and other assurances as either party may reasonably require <br /> in order to carry out the intent and purpose of this Assignment. <br /> 4. Governing Law. This Assignment shall be governed and construed by the laws of <br /> the State of California. <br /> 5. Counterparts. This Assignment may be executed in any number of counterparts, <br /> each of which shall be deemed to be an original and all of which shall constitute one and the <br /> same agreement.
