The Parties expressiy agree that any reasonable payment, attorney's fee, costs or expense City <br /> incurs or rnakes to or on behaff of an injured employee under the City's self-administered <br /> workers' c�mpensation is included as a loss, expense or cost for the purposes Qf this section, <br /> and that this section will survive the expiration or early termination of the Agreement. <br /> 1�.2 Notwithst�nding the above, nothing'in fhis Section 1Q shall be eonstrued to require VIMOC <br /> to indemr�ify an lndemnified Party from Claims arising from the active negligence, sole <br /> negligence �r willful misconduct.of an Indemnified Party. <br /> 10.3 The acceptance of VIMOC's services and duties by the CITY shall not opera#e as a waiver <br /> of the right of ind�mnification. The prouisions of this Section 10 shall survive the expi�ation or <br /> early termin�tion af this Agreement: <br /> SECTION 11.iNSURANCE. <br /> VIMOC shall obtain and maintain far the duration of' the Agreement and any and all <br /> amertdments, insurance against claims for injucies to persons or damage to property, w�riGh� may <br /> arise out of a� in connection with performance of the servic:es by VIMUC or VIM�C's agents, <br /> representatives, employees or subcontractors. The insurance carrier is required to rr�aintain an <br /> A.M. Best rating of not less than "A-:VII°. <br /> 11,1 Covera4es and Limits. VIMOC, at 'rts sofe expense, �hall maintain tite types of <br /> coverag�s and minimum limits indicated below, unless otherwise apprQVed by City in <br /> writing. These minimum amounts of coverage will not canstitute any fimit�ti�ns or cap <br /> on V1M�C`s indemnification obligations under this Agreemenf. <br /> 11.1.1 Commercial General Liabilitv Insurance. VIMOC shall maintain <br /> occu�rence based coverage with limits not less tF�an $500,000 per acc!urrence. If <br /> the subrnitted policies contain aggregate limits, such limits will apply separately <br /> to the services, project, or location that is the subject of thi� Agreement or the <br /> aggregate will be twice the required per occurrence limit. The Ca�mercial <br /> General Liability insurance policy shall be endorsed to name the City, its officers, <br /> agents, employees and volunteers as additional insureds, and to sta#e that #he <br /> insurance will be primary and not contribute with any insurance or self-insurance <br /> maintained by the City. <br /> 11.1.2 Business Automobile Liabilitv Insurance. VIMOC shall maintairt coverage <br /> with limits not less than $500,000 per each accident for owned, hired and non- <br /> owned automobiles. <br /> 11,1.3 Workers' Comaensation Insurance. VIMOC shall maintain coverage as <br /> required by the California Labor Code. The Workers' Compensation policy shall <br /> contain an endorsement stating that the insurer waives any right to subrogation <br /> against the City, its officers, agents, employees and volunteers. <br /> 11.1.4 Emqloyer`s Liabilitv Insurance, VIMOC shall mamfain coverage with limits <br /> not less than $500,000 per each accident for bodily injury or disease. <br /> REV;09-02-15 VR <br /> Page 6 of 11 <br /> ATTY/AGR.2015.21Q/VIMOG pilot <br />
