The parties hereby agree that the fallawing terms and conditians are supplexnental terms and canditians to the Agreement and are applicable to the Voxeo Prophecy service ("Vaxeo Praphecy"}, a service of Aspect Soflware Inc.,which Kronos is autharized ta resell. Description. Voxea Propheey is an Interactive Voice Response (NR� salution,provided solely for Customer's internal use, by which Customer may initiate pkrone calls to staff inembers to fill vacancies or receive notifications of work opparnuuties far employees who are licensed ta use the Kranos Workforce TeleStaff�3 product. Each exchanged message(notice,response,confirmation,denial)shall be considered an"Interaction." Implementatian. To initiate anci setup adtninistraxion of the required cammunications, Kronos wi11 perform the standazd implementation of Vaxea Fraphecy, including configuration, as described in the Statement of Work ("SOW") sigz�ed by the Custamer. Any additional prafessianal services for non-standard implementation services wil�be grovided at mutually agreed upon rates subject to a separate (hder Fazix� or a separate staterxient of work mutually agreed upan by both parties.Kronos may,at its sole discretion,update and enhance the features available ��12'4U�1 V4Xe0 Pip�7Z'leC}�. Payment. Kranos will invoice Customer for the Voxeo Praphecy implementationlconfiguration professional services fess set forth in the applicable SOW and Qrder Form, pursuant to the Agreernent and on the payment terms se�farth therein. Kronos will invoice Customer each month in arrears for Voxeo Proghecy usa�e fees for the total actual nurnber of�netered minutes used each month (the"Minute Usage Fee") at a rate of$0.1� per�ninute. Customer's right to begin using the service shall begin upon activation of the service aftez implementation/configuration. Maintenance for Voxeo Prophecy will be grovided at the same level of suppart as Cust�mer's Workforce TeleStaff product. Voxeo Prophecy maintenance will entitle Gustomer to Voxea Prophecy phone sr�pport and soflware updates and sha11 comrnence upon Qrder execution. Customer will pay invoices issued by Kronas hereunder within thirty(30�days of receipt. Restrictions an Voxev Prophecy Services; Additional Responsibilities. Gustomer agrees that Voxeo Praphecy has not been designed for, and may not be used as, a means to connect with 911 or E911 emergency services. Kranos sha11 have no liabiliry for any delays, failures or unavailability af Voxeo Prophecy due to transmission or other delays, ern�rs or problems beyond Kronos' control, ar any other interntptians ca�sed by the mobile cornmunications network andior mobile devices.
