Tbis license is subject to all of the terms of this Agreement. 3.BUSINESS LICENSE AND APPROVALS Kronas represents and warrants that Kronos has all bu�iness �icenses, certificates, perrnits, azid approvals of whatsoever nature that are legally required for K�ronos to perform its abligations under the Agreement, and shall, at its sale cost and expense, keep in effect ar obtain at all times during the term of this Agreement all such business licenses, certificates, permits, and appravals. Without limiting the generality of the foregaing, Kronos warrants and represents that it possesses a valid cerkificate of qualificatian to transact husiness in the State of California issued by th� Califomia Secretary o£ State puzsuant to Section 2145 af the Califarnia Corporations Code. 4. FEE BASED LIMITATIONS Customer recagnizes and agrees that the licet�se to use the �oftware is limited, hased upon the amount of the license fee paid by Customer. Limitations, which are set forth on the Order Form, may include the nurnher of employees, sirnultaneous or active users, Soflware product modutes, Softwa►re features,computer model and serial number and partition, and/or the number c�f telephone lines ar texmminals to which the Software is permitted ta he connected. Gastomer agarees to: i) use the Software only for the number of employees, si�nulta�neous or active users, camputer model, partitian and serial number, and/or terminals permitted by the applicable license fee; ii) use anly the praduct modules andtor features permitted by the applicable lieense fees, and iiij use tbe Software only in support of Customer's awn business. Custotaner agrees nat to increase the numt}er of employees, simultaneous ar active users, partitions, terrninals, products modules, features, ar to upgrade the model, as applicable, unless and until Gustomer pays the applicable fee for such increaselupgrade. Custvmer may not relicense or sublicense the Software ta, or otherwise pe�mit use of the Software (including timesbaring or networking use)by any third party. Custamer raay not provide service bureau or other data processing services that make u�e of the Sof�ware withaut the express prior written conse�t of Kronos. 5. QBJECT CODE QNLY �,`ustomer may use the computer programs included in the Software(the"Programs'°)in obje�t cade form only,and shall n�t reverse campile, disassemble or ott�erwise convert�he ProgramS into uncompiled or unassembled code, The Programs include components owned by third parties. Such third party components are deemed to be Saflware subject to this Agreement. Custarner shall not ttse any af the Programs (or the data.modets therein) except solely as part oF and in canneetion with the S4ftware and as described in the published documentation for such Soflvaare. Custamer shall indemnify and hald harmless Kronos for all damages or liability caused by Cus�omer's failure to compty with the foregoing restriction. 6. PERMITTED COFTES Customer may copy th� Pragrams as reasonably necessary ta 1oa�i and execute the Programs and far backup and disaster recQVery and testing purpases only, except for atlditional copies of the Teletime Svflware and the Kronos iSeries(which must be licensed separatety). All copies of the Proga�ns or any part thereof,whether in printed or machine readable form and wh�tther an storage media or oth�rvvise,are subject to all the terms of this license,and a1i copies of the Pragrams or any part of the Pro,grams shall include the copyright and praprietary rights notices cantained in the Programs as delivered to the Customer.
