ORIGINAL GENERAL SERVICES AGREEMENT ReBuild Green,Inc. This Agreement is made and entered into between the Ciry of Redwoad City("City"), a nluniciRa corporatian, and ReBuild Green, Inc., a California corporation ("Contractor") as of _ S (the"Effective Date")�C3��' , WHEREAS,there is a single farnily residential structure located at 103 Wilson which is identified in the City's Downtown Precise Plan as a historic resource which may be altered, relocated ar removed; and WHEREAS, pu.rsuant to City entitlements and permits, the aumer of 103 Wilson is commencing development at this location; and WHEREAS, the owner and City have pursued various options for the retention of the structure at 103 Wilson to no avail and owner is proceeding with demolition;and WHEREAS, City has deternuned that it serves a public benefit to retain building materials from this structure,ideally for use in new City projects or City approved projects; and WHEREAS,with the consent of the owner,the City is contracting for and paying for the deconstruction of this structure in order to assure the salvaging of materials for re-purposing in other construction. In consideration of their mutual covenants, the parties hereto agree as follows: 1. Sca,pe of Work. Subject ta the terms and conditions of this Agreement, Contractor shall provide those services described in E�ibit A and incorporated herein by reference. In summary, the scope of services includes but it not limited to deconstniction, demolition of the structure at 103 Wilson Street, Redwoad City, and donation of sal�aged materials to the City of Redwood City. 2. Pavment Terms. For the services described in Exhibit A, the City agrees to pay Contractor a total amount that shall not exceed $22,400.00, which amount shall include a11 expenses. Contractor shall submit progress billings on a monthly basis, if applicable. Contractor's bill shall include the following information for the project: a brief description af services performed, the da.te the services were performed, the number of hours spent and by whom, a brief description of any costs incurred, percent completion to date of eaeh task and subtask, total of prior billings, amount for billing period, total billing to date. In no event shall Cantractor submit any billing for an amount in excess of the maximum amount of compensation provided for in this section.
