ORIGINAL AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES MAXIMUS CONSULTING SERVICES, INC. This Amendment No. 1 is entered into and effective as of the 1st day of July, 2011, extending and amending the agreement dated February 14, 2011 (the "Agreement ") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ( "City "), and Maximus Consulting Services, Inc., a wholly owned subsidiary of Maximus, Inc., ( "Consultant ") (collectively, the "Parties ") for Professional Consulting Services. RECITALS A. On February 14, 2011, the Parties executed Professional Consulting Services; and B. The Parties have negotiated and agreed to amendments attached to and incorporated in by reference as Exhibit "A," Scope of Services and Fee. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement, as may have been amended from time to time, is hereby extended for a period of one year ending on June 30, 2012 and Consultant will be paid a not to exceed amount of nine thousand one hundred dollars ($9,100). 2. Consultant will complete all work described in Exhibit "A" by June 30, 2012. 3. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 4. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this 9 Y Amendment.
