� �..���uC��.� <br /> AMENDMENT NO. 5 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL CONSULTING SERVICES <br /> MAXIMUS CONSULTING SERVICES, INC. <br /> This Amendment No. 5 is entered into and effective as of the 1st day of July, 2015, extending <br /> and amending the agreement dated February 14, 2011 (the "AgreemenY') by and between the City of <br /> Redwood City, a charter city and municipal corporation of the State of California("City"), and Maximus <br /> Consulting Services, Inc., a wholly owned subsidiary of Maximus, Inc., ("ConsultanY') (collectively, the <br /> "Parties")for Professional Consulting Services. <br /> RECITALS <br /> A. On February 14, 2011, the Parties executed Professional Consulting <br /> Services, <br /> B. On July 1, 2011, the Parties executed Amendment No. 1 to Extend the <br /> Agreement for Professional Consulting Services; <br /> C. On July 1, 2012, the Parties executed Amendment No. 2 to amend the terms, <br /> scope of services and fee and; <br /> D. On July 27, 2013, the Parties executed Amendment No. 3 to amend the <br /> terms, scope of services and fee and <br /> E. On July 31, 2014, the Parties executed Amendment No. 4 to amend the <br /> terms, scope of services and fee and <br /> F. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated herein by reference as Exhibit "A," (Scope of Services) and <br /> Exhibit"B" (Compensation). <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have been amended from time to time, is hereby <br /> extended for a period of one year ending on June 30, 2016 and Consultant shall be paid a <br /> not to exceed amount of nine thousand five hundred dollars ($9,500) for providing the <br /> senrices listed on Exhibit"A". <br /> 2. Consultant shall complete all work described on attached Exhibit "A" (Scope of <br /> Services)for the Compensation listed on attached Exhibit"B" by June 30, 2016. <br /> 3. All other provisions of this Agreement, as may have been amended from time to time, <br /> shall remain in full force and effect. <br /> 4.
