LEGAL REMEDIES <br /> 9.20 All claims and controversies between NJPA and Vendor shall be subject to the laws of the State of <br /> Minnesota and are to be resolved in Todd County,Minnesota,the county in which NJPA is domiciled. <br /> N. LICENSES <br /> 9.21 Proposer/Vendor shall maintain a current status on all required federal, state, and local licenses, <br /> bonds and permits required for the operation of the business conducted by the Proposer/Vendor. <br /> 9.22 All responding Proposers must be licensed (where required) and have the authority to sell and <br /> distribute offered products/services to NJPA and NJPA Members in all states. Documentation of said <br /> licenses and authorities, if applicable, is requested. <br /> O. MATERIAL SUPPLIERS AND SUB-CONTRACTORS <br /> 9.23 The apparent successful Vendor shall be required to supply the names and addresses of sourcing <br /> suppliers and sub-contractors when requested. <br /> 9.24 Awarded Vendors under this RFP will be the sole source of responsibility for transactions <br /> originating that award. The Awarded Vendor is solely responsible for products/services and services <br /> provided by third party sourcing or service providers. <br /> P.NON-WAIVER OF RIGHTS <br /> 9.25 No failure of either party to exercise any power given to it hereunder, nor to insistence upon strict <br /> compliance by the other party with its obligations hereunder, and no custom or practice of the parties at <br /> variance with the terms hereof,nor any payment under a Contract resulting from this RFP shall constitute <br /> a waiver of either party's right to demand exact compliance with the terms hereof. Failure by NJPA to <br /> take action or assert any right hereunder shall not be deemed as waiver of such right. <br /> Q. PROTESTS OF AWARDS MADE <br /> 9.26 Protests shall be filed with the NJPA's Executive Director and shall be resolved in accordance with <br /> appropriate state statutes of Minnesota. Protests will only be accepted from Proposers. A protest must be <br /> in writing and filed with NJPA. A protest of an award or proposed award must be filed within ten (10) <br /> days after the public notice or announcement of the award. No protest shall lie for a claim that the <br /> selected Proposer is not a responsible Proposer. A protest must include: <br /> 1. The name, address and telephone number of the protester; <br /> 2. The original signature of the protester or its representative; <br /> 3. Identification of the solicitation by RFP number; <br /> 4. Identification f the statute or procedure that is alleged to have been violated; <br /> 5. A precise statement of the relevant facts; <br /> 6. Identification of the issues to be resolved; <br /> 7. The aggrieved party's argument and supporting documentation. <br /> R. PROVISIONS REQUIRED BY LAW <br /> 9.27 Proposer/Vendor agrees in the performance of a Contract resulting from this RFP, it has complied <br /> with or will comply with all applicable statutes, laws, regulations, and orders of the United States and any <br /> State thereof. <br /> 33 of 47 <br />
