contains five hundred seventy-nine (579) parking spaces (the "Jefferson Spaces") for a total of <br />six hundred fifty-nine (659) parking spaces. <br />H. Section 3.4 of the Parking Agreement provides that if Developer ceases to provide <br />full valet parking, it shall either (i) pay to City an amount equal to the City's then existing in lieu <br />parking fee multiplied by the number of spaces by which the Hamilton Garage falls short of 88 <br />or (ii) enter into a parking operations plan with the City, as approved by the City Manager. <br />Because Developer will only provide valet assist parking on an as needed basis as set forth <br />below, this Addendum is intended to function as the parking operations plan described in Section <br />3.4. <br />I. Now that Developer's project has been completed and the Hamilton Garage and <br />the Jefferson Garage have been joined together, City and Developer also desire to enter into this <br />Addendum to amend and supplement the terms of the Parking Agreement regarding further <br />detail of the operation of the parking facilities and the sharing of revenue and expenses <br />attributable to the Hamilton Garage and the Jefferson Garage. <br />ARTICLE I <br />PARTIES: EFFECTIVE DATE <br />1.1 Incorporation of Recitals. The City and Developer agree that all of the <br />above recitals are true and correct and are hereby incorporated into this Addendum. <br />1.2 Effective Date of Agreement. This Addendum is dated as of Ntrn(2 <br />h l)y>) , for reference purposes only. This Agreement will become effective on <br />that date which is thirty (30) days following the issuance of a Certificate of Occupancy for the <br />Office Building and the Hamilton Garage ("Effective Date"). <br />1.3 Parties to Agreement. <br />1.3.1 The Ci . The address of the City is 1017 Middlefield Road, <br />Redwood City, CA 94063; Attention: City Manager. <br />All of the terms, covenants and conditions of this Addendum shall be binding on and <br />shall inure to the benefit of the City and its successors and assigns as provided under the Parking <br />Agreement. Wherever the term, "City" is used herein, such term shall include any assignee or <br />successor of City. <br />1.3.2 The Developer. The Developer is Hamilton & Winslow <br />Properties, LLC, a California limited liability company. The address of the Developer for <br />purposes of this Agreement is 2055 Woodside Road, Suite 250, Redwood City, CA 94061; <br />Attention: Robert R. Dean. <br />All of the terms, covenants and conditions of this Addendum shall be binding on and <br />shall inure to the benefit of the Developer and its nominees, successors and assigns.
