1.2 Effective Date of Agreement. This Parking Agreement is dated as of <br /> , for reference purposes only. This Agreement will become effective upon <br /> execution by the parties ("Effective Date"). <br /> 1.3 Parties to A�reement. <br /> 1.31 The Citv. The address of the City is 1017 Middlefield Road, Redwood <br /> City, CA 94063; Attention: City Manager. <br /> All of the terms, covenants and conditions of this Parking Agreement shall be binding on <br /> and shall inure to the benefit of the City and its successors and assigns, subject to the provisions <br /> of Section 3.14 hereof. Wherever the term, "City" is used herein, such term shall include any <br /> assignee or successor of City. <br /> 1.3.2 The Developer. The Developer is Hamilton & Winslow Properties, LLC, <br /> a California limited liability company. The address of the Developer for purposes of this <br /> Agreement is 2055 Woodside Road, Suite 250, Redwood City, CA 94061; Attention: Rob Dean. <br /> All of the terms, covenants and conditions of this Parking Agreement shall be binding on <br /> and shall inure to the benefit of the Developer and its nominees, successors and assigns. <br /> Wherever the term "Developer" is used herein or therein, such term shall include any nominee, <br /> assignee or successor of the Developer. <br /> 1.3.3 The City and Developer are sometimes individually referred to as "Party" <br /> and collectively as "Parties." <br /> ARTICLE 2 <br /> GRANT OF EASEMENTS <br /> 2.1 Citv Grant of Easements in Public Access Parcels. The City hereby grants to <br /> Developer an exclusive easement in that certain real property referred to herein as "Public <br /> Access Parcel #1" and "Public Access Parcel #2. ("Public Access Parcel #1 and Public <br /> Access Parcel #2 are referred to collectively herein as the "Public Access Parcels.") Public <br /> Access Parcel #1 is described in Exhibit A-1 and shown on the plat map attached hereto as <br /> Exhibit A-2. Public Access Parcel #2 is described in Exhibit A-3 and shown on the plat map <br /> attached hereto as Exhibit A-4. Exhibits A-1, A-2, A-3 and A-4 are hereby incorporated herein <br /> by reference. The Public Access Parcels are being granted for the benefit of Developer for the <br /> purpose of constructing, operating and maintaining a portion of a two-level underground garage <br /> and enabling the provision of a vehicular passageway on both levels from the Jefferson Garage <br /> through the Hamilton Garage to its exit and from the future Winslow Garage through the <br /> Hamilton Garage to its exit. This easement shall be an easement and shall be enforceable as a <br /> covenant running with the land and an equitable servitude upon the lands overlying the Hamilton <br /> Garage, binding upon said lands, each person having or acquiring any right title or interest in <br /> said lands or any part thereof, or any improvements thereon, and upon their respective successors <br /> and assigns, and shall run for the benefit of the Developer and its successors and assigns owning <br /> or operating the Hamilton Garage. <br /> ATTY/AGR/2015.146/HAMILTON-WINSLOW DDA <br /> REV:08-18-15 VR <br /> Page 3 <br /> 82483.00019\9644366.16 <br />
