1.13 Developer Parties. "Developer Parties" means, collectively, the directors, <br /> officers, employees and agents of the Developer. <br /> 1.14 Developer PropertX. "Developer Property" shall have the meaning set forth in <br /> Recital B, above, which property shall be developed by the Developer pursuant to this <br /> Agreement and in accordance with the Project Description, attached hereto as Exhibit B. <br /> 1.15 Easement and Parkin�A�reement. "Easement and Parking Agreement" shall <br /> mean the Grant of Easements and Reciprocal Access, Parking and Maintenance Agreement as set <br /> forth in Section 2.1, the form of which is attached to this Agreement as Exhibit D. <br /> 1.16 Effective Date. The date of this Agreement as set forth above, which shall be the <br /> date when this Agreement has been signed by both Parties. <br /> 1.17 Escrow. "Escrow" is defined in Section 2.2. <br /> 1.18 Escrow Agent• "Escrow Agent" means First American Title Insurance Company, <br /> 2755 Campus Drive, Suite 125, San Mateo, CA 94403 or such other person mutually agreed <br /> upon in writing by the City and the Developer. <br /> 1.19 Fox Theatre. The Fox Theatre is a historic theatre building on the Fox Theatre <br /> Parcel. <br /> 1.20 Fox Theatre Agreement. The Fox Theatre Agreement shall have the meaning set <br /> forth in Section 4.3. <br /> 1.21 Fox Theatre Parcel. The Fox Theatre Parcel is located on Broadway, is adjacent <br /> to the Developer Property, and is owned by an entity related to Developer. <br /> 1.22 Hamilton Gara�e. The Hamilton Garage is the two-level underground garage to <br /> be developed on the Developer Property and the Public Access Parcels as part of the Project. <br /> 1.23 Indemnitee. "Indemnitee" means any person entitled to be indemnified under the <br /> terms of this Agreement. <br /> 124 Indemnitor. "Indemnitor means a Party that agrees to indemnify any other <br /> person. <br /> 1.25 In-Lieu Parking Fee. The In-Lieu Parking Fee is the fee described in Article 303 <br /> of the City Zoning Ordinance. <br /> 1.26 Insurance Documents. "Insurance Documents" means copies of insurance <br /> policies, original certificates of insurance or endorsements evidencing all insurance coverage <br /> required to be obtained by the Developer, pursuant to Article 5. <br /> 1.27 Jefferson Gara�e.
