EXHIBIT F FORM OF MEMORANDUM OF DISPOSITION AND DEVELOPMENT AGREEMENT RECORDING REQUESTED BY AND AFTER RECORDATION, MAIL TO: City of Redwood City 1017 Middlefield Redwood City, CA 94063 Attn: Exempt from Recording Fees pursuant to Government Code Section 27383 MEMORANDUM OF DISPOSITION AND DEVELOPMENT AGREEMENT This Memorandum of Disposition and Development Agreement (the "Memorandum") is dated for reference purposes as of , by and between THE CITY OF REDWOOD CITY, a charter city and California municipal corporation (the "Citv") and HAMILTON & WINSLOW PROPERTIES, LLC, a California limited liability company ("Developer"). 1. City and Developer entered into that certain Disposition and Development Agreement, dated as of (the "DDA"), with respect to certain real property situated in the City of Redwood City, County of San Mateo, State of California, as more particularly described on EXhibit A attached hereto (the "Site"). The Site is comprised of the Developer Property, the Public Access Parcels and the Sliver Parcel, all as described in Exhibit A. Pursuant to the DDA, the Developer has acquired the Public Access Parcels and Sliver Parcel from the City, and shall develop on the Site a retail/office building, with two (2) levels of underground parking, and landscaping and other amenities, all as more fully described in the DDA (the "Project"). 2. This Memorandum is made upon all the terms and conditions in the DDA and all of said terms and conditions are incorporated by reference herein. This Memorandum is prepared for the purpose of recordation only and shall not be construed to alter, modify, amend or supplement the DDA of which this is a memorandum. 3.
