8. City Manager's Authority. The City Manager is hereby given the authority, on <br /> behalf of the City, to approve minor, non-substantive amendments to this Parking Covenant, all <br /> without the need to return to the City's governing board for approval or ratification. <br /> 9. Subordination. At Developer's request from time to time, the City shall sign such <br /> documents as may be requested by Developer, to confirm that the City's rights under this Parking <br /> Covenant, are subject and subordinate to other encumbrances on the Site including, without <br /> limitation, deeds of trust and declarations of covenants, conditions, restrictions and reciprocal <br /> easements, provided, however, that as a condition of signing any document, the City shall be <br /> provided an agreement from the holder of the senior encumbrance that the Parking Covenant shall <br /> not be disturbed, <br /> 10. Notices. Any notices relating to this Agreement shall be given in writing and shall <br /> be deemed sufficiently given and served for all purposes when delivered personally or by <br /> generally recognized overnight courier service, or five (5) days after deposit in the United States <br /> mail, certified or registered, return receipt requested, with postage prepaid, addressed as follows: <br /> To the Developer: Premia South County, LLC <br /> 887 Industrial Road, Suite F <br /> San Carlos, CA 94070 <br /> Attn: Michael Halow <br /> To the City: City of Redwood City <br /> 1017 Middlefield Road <br /> Redwood City, California 94063 <br /> Attn: City Manager <br /> 11 . Runs with the Land; Recordation. This Parking Covenant pertains to and shall run <br /> with the Property. Upon execution, this Covenant shall be recorded in the Official Records of <br /> San Mateo County. All of the terms, covenants and conditions of this Parking Covenant shall be <br /> binding on and shall inure to the benefit of the Developer and its nominees, successors and <br /> assigns.
