AGREEMENT FOR DEMOLITION SERVICES Contractor: Randazzo Enterprises Inc. THIS AGREEMENT is made and entered into as of the 29th day of September, 2015, by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("City"), and Randazzo Enterprises, Inc. ("Contractor")for work on the 1606 Middlefield Project ("Project"). RECITALS A. City requires the services of a demolition specialist to demolish a structure located at 1606 Middlefield Road, Redwood City, CA 94063. Pursuant to Section 2.65 of the Redwood City Municipal Code, the City solicited written bids without public advertisement for this contract, as its estimated cost is greater than ten thousand dollars ($10,000}, but less than one hundred thousand dollars ($100,000). B. Contractor has the necessary experience in providing such services and advice. C. Selection of Contractor is expected to achieve the desired results in an expedited fashion. D. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Work. City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference, including but not limited to testing and abatement of any lead, asbestos or other hazardous substances; application to County and/or BAAQMD for required permits and licenses, including the J license; demolition of structure and return of site to a clean condition. Contractor must provide, furnish, and supply all things necessary and incidental for the timely performance and completion of the Work, including all necessary labor, materials, equipment, transportation, temporary facilities, and utilities, unless otherwise specified herein. Contractor must use its best efforts to complete the Work in a professional and expeditious manner and to meet or exceed the performance standards required herein. In the event of a conflict between the provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail. City shall have the right to modify the scope of work to delete tasks in whole or in part. 1.1 Responsibility for the Work. Contractor is responsible for supervising and directing all aspects of the Work to facilitate the efficient and timely completion of the Work.
