City's Conflict of Interest Code is required of Photographer or any of Photographer's employees, agents or subcontractors. Should it be determined that disclosure is required, Photographer or Photographer's employees, agents, or subcontractors will complete and file with the City Clerk those schedules specified by City and contained in the Statement of Economic Interests Form 700. 6. Compliance With Laws. Photographer will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 7. Ownership-Copyriqhts 7.1 Copyri,ghts. 7.1.1. Photograph�r agrees to transfer and hereby does transfer irrevocably to City all right, title, and interest, including copyright, in the works of art listed in Exhibit "B" ("the Work Product"), including the Work Product itself and in the design, sketches, drawings, model, maquettes, slides, photographs, and all other related materials used in the design and creation of this Work Product for the itemized price per image listed in Exhibit "B." Total consideration for the transfer of all right, title, and interest, including copyright, in the works of art listed in Exhibit "B" will be finro thousand two hundred dollars ($2,200.00). r The City grants the Photographer non-revocable license to use the Work Product for self-promotional use — website, internet display and other promotional use. Photographer cannot sell the Work Product to other interested parties for their own promotional use. 7.1.2. Photographer agrees that all Services performed under this Agreement shall comply with all applicable patent, trademark and copyright laws, rules, regulations and codes of the State of California and the United States. Photographer hereby represents and warrants that the work does not, and Photographer has not and will not, utilize any protected patent, trademark or copyright in performance under this Agreement unless and until Photographer has obtained proper permission and all releases and other necessary documents. If Photographer specifies any material, equipment, process or procedure which is protected, Photographer shall disclose such patents, trademarks and copyrights in the construction drawings and technical specifications, such listing to be appended to this Agreement and shall be incorporated by this reference. Photographer is not responsible for the publishing of images / likenesses of individuals or business as depicted in the photos.
