MOM <br />AMENDMENT NO. 3 TO LICENSE AGREEMENT BETWEEN <br />THE CITY OF REDWOOD CITY <br />AND <br />PREMIA 550 OWNER LLC <br />THIS AMENDMENT NO. 3 is entered into as day of 2017 (the <br />"Effective Date"), amending the License Agreement by and between THE CITY OF <br />REDWOOD CITY, a charter city and municipal corporation of the State of California ("CITY"), <br />and PREMIA 550 Owner LLC, a 2afiFomia limited liability company ("LICENSEE"). <br />AE.iMww.Yb <br />RECITALS - <br />A. CITY and LICENSEE previously entered into that certain License Agreement <br />dated December 15, 2015, ("Original License Agreement") allowing Licensee to use the City <br />Property for construction worker vehicle parking of up to 40 spaces, as shown on the attached <br />Exhibit A ("License Area") during construction of the 550 Allerton Project. <br />B. The License Agreement was amended by that certain Amendment No. 1 to <br />License Agreement, dated May 21, 2016, 2016 ("Amendment No. 1"). <br />C. Amendment No. 1 was amended by that certain Amendment No. 2 to License <br />Agreement, dated December 2, 2016 ("Amendment No. 2"; the License Agreement, <br />Amendment No. 1, and Amendment No. 2 are collectively referred to herein as the "License <br />Agreement'.) <br />D. The license granted by the License Agreement is scheduled to terminate as of <br />March 31, 2017. <br />E. LICENSEE now desires an extension of time to use the City Property for <br />construction worker vehicle parking. <br />F. CITY has determined that extending the temporary use proposed by LICENSEE <br />provides a common benefit to the Downtown area. <br />CITY is willing to extend the term of the License Agreement on the terms set forth herein. <br />AGREEMENT <br />NOW, THEREFORE, for good and valuable consideration, receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1. Extension of Term. The Term of the License Agreement is extended for an <br />additional 6 months commencing on April 1, 2017 and expiring on September 30, 2017. <br />("Extension Period") <br />2. Capitalized Terms. Capitalized terms used herein and not otherwise defined <br />shall have the meanings given to such terms in the License Agreement. <br />3. Lease in Effect.
