no uncured defaults in the performance of Property Owners, except as may be represented by <br /> Property Owners. Property Owners shall have the right, in its sole discretion,to recard the Notice <br /> of Compliance. <br /> ARTICLE 8 <br /> MISCELLANEOUS <br /> 8.1 Defined Terms; Citations. Unless the context obviously indicates otherwise, the <br /> capitalized terms used in this Agreement shall have the meaning given them in this Agreement. <br /> 8.2 Notices. All notices, consents, requests, demands, or other communications to or <br /> upon the respective Parties shall be in writing and shall be effective for all purposes: (A) upon <br /> receipt on any City business day before 5:00 PM local time and on the next City business day if <br /> received after 5:00 PM or on other than a City business day, including without limitation, in the <br /> case of (i) personal delivery or (ii) delivery by messenger, express or air courier or similar <br /> courier, or (B) three (3) business days after being duly mailed to the principal offices of the <br /> intended Party via certified mail, return receipt requested, postage prepaid, all addressed as <br /> follows: <br /> If to City: City of Redwood City <br /> Attention: Community Development Director <br /> 1017 Middlefield Road <br /> Redwood City, CA 94064. <br /> With a mandatory <br /> copy to: <br /> City Attorney <br /> City of Redwood City <br /> 1017 Middlefield Road <br /> Redwood City, CA 94064 <br /> If to Property Owners: <br /> Ricky Hung Ngo <br /> Yung Le <br /> 961 Bryant Way <br /> Sunnyvale,CA 94087 <br /> Either Party may change its address by providing five (5) business days' prior written notice to <br /> the other Party in the manner set forth above. <br /> 8.3 Relationship of Parties. It is specifically understood and agreed by and between <br /> the Parties that the development of the Property and the installation of the Right-of-Way <br /> Improvements is a separately undertaken private development. No partnership,joint venture, or <br /> other association of any kind between Property Owners and City is forxned by this Agreement, <br /> and City and Property Owners expressly disclaim the existence of any form of agency <br /> relationship,joint venture or partnership between the Parties.
