monitor all prevention programs at Sequoia High School. § Raise awareness among all STRC partners regarding connection between AOD prevention efforts and overall youth development strategies. � Meet with SUHSD Wellness Advisory Council on issues related to AOD prevention. § Organize Health Fair at Sequoia High School targeti�g 9th grade students, inviting AOD community partners and other agencies to deliver information to students about AOD. Organize parent workshop and/or resource fair regarding AOD prevention and parenting skills. Assist in coordination of other school-wide AOD prevention efforts as needed. Redwood City 2020 will work closely with the STRC to develop and sustain programs to support students in reaching their academic and social-emotional potential; assist with resource development and with design and implementation of an evaluation model to track the impact of STRC programs. 3. Fundin . Redwood City 2020 will pay to SUHSD a total amount of $50,506.00 for the Director's Services. The maximum expenditure by Redwood City 2020 under this MOU is $50,506.00. No other compensation for the Services will be allowed, except for items covered by subsequent amendments to this Agreement. Redwood City 2020 reserves the right to withhold a ten percent (10%) retention until Redwood City 2020 has accepted the Services specified above. Payment shall occur only after receipt by City of invoices sufficiently detailed to include hourly rates, hours worked, and tasks performed, unless otherwise agreed to by Redwood City 2020. SUHSD will provide a detailed invoice, with evidence of progress in achieving defined deliverables when requesting payment. The contract will be paid in three installments: 1) first installment to be invoiced by December 31, 2015; 2) second installment to be invoiced by March 30, 2016; 3)final installment to be invoiced by June 30, 2016. The Director's yearly salary (including benefits) is $102,506 for Fiscal Year 2015-16. SUHSD will pay $52,000 of that yearly salary. 4. Status of Director. SUHSD's Director of the STRC will perform the Services as an independent contractor or employee of SUHSD and not as an employee of City or Redwood City 2020. 5. Indemnification. SUHSD will defend, indemnify and hold harmless City and its officers, agents, employees and volunteers and Redwood City 2020 and its officers, agents, employees, and volunteers, from and against all claims, damages, losses and expenses including attorney fees arising out of the perFormance of the Services, caused in whole or in part by the willful misconduct or any negligent act or omission of the Director or SUHSD, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, except where caused by the active negligence, sole negligence, or willful misconduct of City or Redwood City 2020. The Parties expressly agree that any reasonable payment, attorney's fee, cost or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this section.
