6.1 Caveraqes and Limits. Consultant, at its sole expense, shall ma'►ntain the #ypes of caverages and minimum limits indicated below, unless otherwise appraved by City in writing. These minimum amounts of coverage will not constitute any limitatians or cap an Consultant's indernn��a#ion obligatians under#his Agreement. 6.1.'f Commercial General Liabili#y Insura�ee. Gonsultant shall maintain occurrence based coverage with limits nat less than $50Q,OQQ per occurrence. Cf the submitted policies contain aggregate limits, such limits wilf apply separately to the Services, project, or Eacafion that is #h� sub}ect af this Agreemen# or the aggregate will be twice the required per occurrence limit. The Commercial General Liability insurance policy sha(I be endorsed to name the City, its a�cers, agents, employees and volunteers as additional insureds, and to stat�that the insurance will be primary and not contribute with any insurance or self-insurance maintained by#he C+ty, 6.1.2 Business Automobile Liability Insurance. Consuftant shall maintain cpverage with limits not less than $500,OQQ per each accident for awned, hired and non-owned automabiles. 6.1.3 Workers' Compensation Insurance. Cansultant shall maintain caverage as required by the California Labor Code. The Workers` Compensation policy sha11 cantain an endorsement stating #hat the insurer waives any right to subrogativn against the City, its oFficers, agen#s, employees and volunteers. Workers' Campensation and Employer's Liability insurance wilf not be require3d if Gonsultant has n�emplayees and provides,to City's satisfaction,a declara#ion stating this. 6.1.4 EmRlaYer's �iabilitv Insurance. Consultant shal[ maintain coverage with limits not less than$500,000 per each accident for badily injury or disease. 6.2. Notice of Cancellation. This insurance will be in force during#he life of the Agreement and any e�ensions of it and will nat be canceled without Consultant providing thirty{30}days prior writ#en notice ta City sent pursuant to tF�e Notice pravisions of this Agresment. 6.3 Providing Certificates of Insurance and Endorsements. Prior ta City's execution of this Agreement, Cr�nsultant shall provide to City certificates of insurance and above- referenced endarsements sufficient to satisfaction af City's Risk Manager. In no event shalE Consuttant comrnence any work or provide any Senrices under this Agreement until certificates of insurance and endorsemants have been accepted by City's Risk Manager. 6.4 Failure to Maintain Coveraae. If Consultant fails to comply with these insurance requirements, then Gity will have the option to dec[are Cansultant in breach, or may purchase r�pfacement insurance or pay the premiums that are due an existing pc�licies in arder ta msintain the required coverages. Consultant is responsible for any payments made by City to obtain or maintain insurance and City may collect these payments from Consultant or deduct the amoun#paid from any sums due Consultant under this Agreement. 6.5 Submission of Insurance Po[icies. City reserves the right to require, at any #ime, complete copies of any or alf required insurance policies and endorsements. 7. Business Licen$e. Consultant will obtain and maintain a City of Redwood Gity Business License for the term of the Agreement, as may be amended#rom time-to-time. 8. Conflict of Interest. Ci#y wiCl evaluate ConsultanYs duEies pursuant to this Agreement ta determine whether disclosure under the PoCitical Refarm Act and City's Canflict of Interest Code is required of �ansultant or any of Consultant's employees, agents or subcontractars.
