<br />203193300.19 -29- <br /> <br />Date by a percentage amount equal to the CPI increase for the trailing 4 calendar <br />quarters preceding each such anniversary plus 2% (so, for example, if the CPI increase <br />were 1% for the trailing 4 calendar quarters preceding a particular anniversary of the <br />date hereof, the applicable permitted percentage increase in the Annual Membership <br />Fee Cap as of that anniversary would be 3%); <br />9.11.3 Any upwards adjustment permitted under this Section 9.11 and not made as of any <br />anniversary date may be made at any time after such anniversary date without <br />derogation of Operator’s right to make any other upwards adjustments permitted under <br />this Section 9.11; <br />9.11.4 To adjust in its sole discretion all other fees, time periods and charges specified <br />hereunder other than those fees, time periods and charges specified in Section 9.2.1 and <br />Section 9.3; and <br />9.11.5 To adjust upward the duration of the Initial Ride Period. <br />9.12 MTC shall have the right to review and approve the initial Program membership waiver <br />and any material changes thereto, which approval shall not be unreasonably withheld. <br />9.13 At any time and from time to time, Operator may, in its sole discretion, offer discounts and <br />promotions for the Program. <br /> <br /> <br />MERCHANDISING, LICENSING AND INTELLECTUAL PROPERTY <br />10.1 [INTENTIONALLY OMITTED] <br />10.2 Subject to the limitations, terms and conditions as may be imposed by the Sponsor in the <br />Sponsor’s discretion, upon request by MTC and the Participating Cities, Operator shall seek to obtain for <br />MTC and the Participating Cities, or shall assist MTC and the Participating Cities to obtain, for the <br />benefit of MTC, the Participating Cities and their respective business partners and sublicensees, non- <br />exclusive licenses to use during the term of any Sponsorship agreement the Sponsor trademarks, logos, <br />servicemarks, and other similar intellectual property identified for use in connection with the Sponsorship <br />agreement (individually and/or collectively the “Sponsor Property”) to market and promote the Program <br />under the name or title for the Program adopted by Operator for the Program (the “Program Name”), <br />which name shall be subject to the consent of MTC and the Participating Cities, as applicable, to the <br />extent the Program Name consists of MTC/Participating City Property; provided, however, the use of any <br />Sponsor Property by MTC or the Participating Cities shall comply with reasonable quality control <br />measures required by the Sponsorship agreement. To the extent that the Program Name incorporates <br />MTC/Participating City Property, MTC and/or one or more of the Participating Cities, as the case may be, <br />shall own the portion of any Program Name that consists of MTC/Participating City Property. For further <br />clarity, with respect to obtaining the aforementioned licenses, Operator is not the agent of MTC or the <br />Participating Cities and has no authority to enter into agreements on behalf of or otherwise bind MTC or <br />the Participating Cities.
