<br />203193300.19 -37- <br /> <br />coverages are non-renewed or cancelled. The failure to procure or maintain required insurance and/or an <br />adequately funded self-insurance program will constitute a material breach of this Agreement. <br />17.10 Certificates of Insurance. Prior to commencement of any work hereunder, Operator shall <br />deliver to MTC Certificates of Insurance verifying the aforementioned coverages. Such certificates shall <br />make reference to all provisions and endorsements referred to above and shall be signed on behalf of the <br />insurer by an authorized representative thereof. <br />17.11 Disclaimer. The foregoing requirements as to the types and limits of insurance coverage to <br />be maintained by Operator are not intended to and shall not in any manner limit or qualify the liabilities <br />and obligations otherwise assumed by Operator pursuant hereto, including, but not limited to, liability <br />assumed pursuant to Section 16 . <br />17.12 Additional Insureds: The following entities are to be named as Additional Insureds under <br />applicable sections of this Section 17 and as Indemnified Parties pursuant to Section 16. <br />17.12.1 Metropolitan Transportation Commission (MTC) <br />17.12.2 City of Berkeley <br />17.12.3 City of Oakland <br />17.12.4 City of San Francisco <br />17.12.5 City of Emeryville <br />17.12.6 City of San Jose <br /> <br /> <br />TERMINATION AND DEFAULT <br />18.1 The following events shall be a Default under this Agreement: <br />18.1.1 A breach by Operator of a payment obligation under Section 8 [Revenue Sharing] and <br />the failure to remedy such breach within 10 business days after receipt by Operator <br />from the Executive Director of written notice of such breach; <br />18.1.2 A breach by Operator of a material obligation under Section 7 of this Agreement or <br />Section 29 of the Coordination Agreement [Advertising and Sponsorship]; Section 9 <br />[Price Schedules], Section 10 of this Agreement or Section 30 of the Coordination <br />Agreement [Merchandising, Licensing and Intellectual Property]; any separate <br />licensing agreement between Operator (or its affiliate) and MTC and/or a Participating <br />City; Section 31 of the Coordination Agreement [Marketing, Promotions and <br />Reporting]; Section 14 [Website]; Section 15 [Security Fund]; Section 16 [Indemnity]; <br />Section 20 [Employment and Purchasing]; and Section 21 [Inspection and Audit], and <br />the failure to remedy such breach within 10 business days after receipt by Operator <br />from the Executive Director of written notice of such breach;
