<br />203193300.19 A-5 <br /> <br />KPI <br /># <br />Title Definition Measurement <br />Tool(s)1 <br />Liquidated Damages <br />12 Rebalancing No station Cluster shall be completely empty of available <br />bikes for use or completely lacking of empty, operable <br />docks for more than 10 consecutive minutes during Peak <br />Hours (i.e., 6:00 am to 10:00 pm). <br />The Rebalancing KPI set forth above is an interim KPI. <br />During the Assessment Period (as defined in Section <br />2.6.2(b) of the Agreement), the Rebalancing KPI will be <br />assessed and reformulated, and a new Rebalancing KPI <br />will be fully implemented immediately following the <br />Assessment Period. <br />Software System/ <br />Operator records/ <br />databases <br />$1.00 for each minute that a <br />Cluster Outage occurs beyond 10 <br />consecutive minutes during Peak <br />Hours. <br /> <br />Liquidated Damages do not apply <br />to the Stations installed as part of a <br />Phase for the first 6 months after <br />the completion of such Phase. <br /> <br />
