persans directly employed by Cvnsultant. Nothing con#ained in this Agreement will create any contractual relationship between any subcantractor of Consultant and City. Consultant will be respansible for payment af subcontractors, Consultant wilf bind every subcontractor and every subcontractar of a subcontractor by the terms of this Agreement applicable to Gonsultant's work unless specifically noted to the contrary in the subcontract and approved in writing by City. 9. 4ther Consultants. City reserves the right to employ other consultants in connection with the Services. 10. Indemnification. Consultant will defend, indemnify and hold harmless City and its officers, agents, employees and volunteers from and against all claims, damages, losses and expenses including attorney fees arising out of the performance of the Services, caused in whole or in p�rt by the willful misconduct or any negligent act or omission of the Consultant, any subcontractor, anyone directly or indirectly emplayed by any of them ar anyone for whase acts any of them may be liable, except where caused by the sole negligence or willful misconduct of City. The Parties exp�essly agree that any reasonable payment, attorney's fee, cos# or expense City incurs or makes to or on behalf of an injuted employee under the City's self-administered wvrkers' campensation is included as a foss, expense or cost for the purposes of this sec#ian. The parties expressly agree that this section shall survive the expiratian or early termina#ion af the Agreement. 11. Insurance. Consultant shall obtain and maintain for the duration of the Agreemen# and any and all amendments, insurance against claims for injuries ta persons or damage to prope�ty which may arise out of or in cannection with performance of the Services by Consultant or Consultant's agents, representatives, employees or subcontractors. The insurance carrier is required #n maintain an A.M. Best rating of not less than "A-:VII". 11.1 Coveraqes and Limits. Consultant, at its sol�e expense, shall maintain the types o# coverages and minimum limits indicated below, unless atherwise approved by City in writing. These minimum amounts of coverage wiil not eonstitute any limitations or cap on Consultant's indemnificatian obligations under this Agreement. 11.1.'1 Commercial General Liability Insurance. Consultant shafl maintain occurrence based coverage with limits not less than $1,00a,000 per accurrence. If the submitted policies contain aggregate limits, such limits will apply separately to the Services, pro}ect, or location that is the subject of this Agreement or the aggregate will be twice the required per occurrence limit.
