new affordable housing and the provision of other community <br /> benefits. <br /> ii. Provide a draft of the RFPs to RWC for review and comment, at <br /> least l4 days prior to issuance. The Scope of Work specified in the <br /> RFPs shall include, but not be limited to, an exploration of the types <br /> of benefits that are most desired by the community to help achieve <br /> the community's shared vision of a quality environment and the <br /> feasibility of providing those benefits. This explaration shall be <br /> informed by: <br /> l. Priorities and programs developed by the County and RWC <br /> in the community; <br /> 2. Prior community outreach and planning such as RWC's <br /> Cornmunity Benefits Program,the County's North Fair Oaks <br /> Community Plan, NFO Forward and the North Fair Oaks <br /> Community Council; and <br /> 3. A robust new community outreach effort specific to the <br /> planning of Middlefield Junction. <br /> iii. Develop a list of potentially qualified master planners and finance <br /> consultants to receive the RFPs, including all narnes provided by <br /> RWC. <br /> iv. Issue the RFPs, respond to any questions raised by potential <br /> propc>sers, conduct a proposer's conference, review & analyze <br /> proposals received, recommend proposal(s) for award and respond <br /> to any protests received. <br /> v. Jointly select with RWC proposal(s)for acceptance. <br /> B, Contract Administration <br /> i. Negotiate terms and execute contract(s)with successfiil proposer(s). <br /> ii. Administer contract(s)including processing of invoices and payments. <br /> iii. Oversee the wurk of the master planner{s)and finar►cial consultant(s). <br /> III. STATUS OF DOH AS AN INDEPENDENT CONTRACTOR <br /> DOH will perform the work and services as an independent contractor and not as <br /> an employee of RWG. The persons used by DOH to provide services under this <br /> Agreement shall not be considered empioyees of RWC for any purposes. <br /> !V.
