REV: 03-14-24 MI AMENDMENT NO. 4 TO AGREEMENT FOR PROFESSIONAL SERVICES (InfoSend, Inc.) This Amendment No. 4 (the “Amendment No. 4”) is entered into and effective as of April 28, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and InfoSend, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of April 28, 2016, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of April 28, 2019, Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of April 28, 2020, and Amendment No. 3 to the Original Agreement (“Amendment No. 3”), dated as of April 28, 2023 (the “Original Agreement” and “Amendments No. 1, 2, and 3” are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 4, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of One Hundred Thousand Dollars ($100,000) for the completion of all the services described in Exhibit “A” to Amendment No. 2, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 4, the total amount payable under the Agreement will be a not-to-exceed amount of Six Hundred Seventy-Five Thousand Dollars ($675,000). 2. Unless terminated earlier, the term of this Amendment No. 4 will be a period of one year from the effective date of this Amendment No. 4. Including all amendments, through Amendment No.4, the total term of this Agreement is nine years from the Effective Date of this Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 4. ATTY/AGR.2024/Amend.
