Exhibit A <br /> Scope of Services <br /> William Euphrat Municipal Finance, Inc. will : <br /> 1 . Perform all financial analysis necessary to determine the cost-effectiveness of <br /> refunding the 2011 Bonds and the size and structure of a refunding bond issue; <br /> 2. Assist with the selection of bond counsel and disclosure counsel ; <br /> 3. Prepare and distribute an RFP for underwriting services and assist the City with its <br /> selection of the underwriter for a negotiated sale of bonds; <br /> 4. Make presentations to the City Council and its finance subcommittee; <br /> 5. Recommend a plan of finance and provide advice regarding the attendant risks and <br /> benefits; <br /> 6. Develop an implementation schedule and manage the activities leading to the <br /> financing's completion; <br /> 7. Attend public meetings relevant to the implementation of the financing program and <br /> make presentations as requested; <br /> 8. Meet and confer with financing team members as necessary to structure the terms <br /> of refunding bonds; <br /> 9. Perform saving analyses, bond structuring, and other relevant financial analysis; <br /> 10. Prepare staff reports relating to the financing for finance committee and Council <br /> agenda items; <br /> 11 . Recommend marketing and security features for the bonds; <br /> 12. Assist disclosure counsel with the preparation and distribution of disclosure <br /> documentation; <br /> 13. Prior to the execution of the purchase contract, evaluate and review with <br /> representatives of the City and representatives of the underwriter the underwriter's <br /> pricing proposal , and compare the pricing of the bonds to concurrently marketed <br /> issues in order to confirm that the pricing is as efficient as is possible vis-a-vis the <br /> market and that the proposed bond pricing is commensurate with issues of similar <br /> term to maturity and credit quality; <br /> 14. Advise City staff regarding the underwriter's final pricing proposal ; <br /> 15. Coordinate with the underwriter and the escrow agent the purchase of escrow <br /> securities in an amount sufficient to defease the 2011 bonds on their first optional <br /> redemption date; <br /> 16. Advise staff on material issues throughout the financing; <br /> 17. Prepare a post-sale analysis of bond pricing and a transaction summary describing <br /> the basic structure of the financing and detailing key continuing administrative <br /> duties; and, <br /> 18.
