ORIGINAL Amendment No. 4 To Extend The Agreement For Business License Compliance Services Between The City Of Redwood City And MuniServices, LLC THIS AMENDMENT NO.4 is dated May 9, 2008, and extends the term of the Agreement for Business License Compliance Services dated May 10,2004 ("Agreement") between the City of Redwood City, a charter city and municipal corporation of the State of Cali fomi a (City) and MuniServices, LLC a Delaware limited liability company (Consultant) (collectively, the "Parties"). RECITALS A. On August 23,2005, the Parties executed Amendment No.1 to extend the term of the Agreement to May 10, 2006; and B. On April 13, 2006, the Parties executed Amendment No.2 to extend the term of Agreement for an additional year ending on May 10,2007. C. On May 9, 2007, the Parties executed Amendment No.3 to extend the term of the Agreement for an additional year ending on May 10,2008 The Parties therefore agree as follows: 1. This Agreement, as may have been amended from time to time, is hereby extended for a period of one year ending on May 10, 2009. 2. All other provisions of the Agreement, as may have been amended from time to time, shall remain in full force and effect. 3. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, shall include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions hereof of this Amendment.
