6.3.C. - Page 7 <br /> C. The Parties wish to continue their longstanding cooperation and <br /> collaboration on projects of mutual benefit and to continue making portions of the <br /> Parking Structure and the Parking Lot available to the City for public use subject to the <br /> terms and conditions set forth in this Agreement. <br /> NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: <br /> 1. Use of the Parking Structure and the Parking Lot. The parties agree that <br /> the Parking Structure and the Parking Lot may be used in accordance with this <br /> Agreement and terms and conditions contained in the attached Exhibit A, which is <br /> incorporated herein by reference. <br /> 2. Term. The initial term of this Agreement will be fifteen (15) years <br /> commencing on , 2016 ("Initial Term"). At City's option, the Agreement <br /> may be extended for up to seven (7) periods of five (5) year each (each such five year <br /> period referred to herein as an "Option Period") by providing written notice to County of <br /> the City's intent to exercise its right to an Option Period no later than six months prior to <br /> the end of the Initial Term or the then-current Option Period, as the case may be. <br /> 3. Termination. County and City shall each have the right to terminate this <br /> Agreement upon one (1) year's prior written notice to the other Party. Notwithstanding <br /> the foregoing, during the Initial Term, the City shall not have the right to terminate this <br /> Agreement without the written consent of the County.
