6.1.F. - Page 4 <br /> AMENDMENT NO. 3 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (TRA Environmental Sciences, Inc.) <br /> This Amendment No. 3 is entered into and effective as of the day of <br /> , 2016, extending and amending the agreement dated June <br /> 28, 2012 (the "Agreement") by and between the City of Redwood City, a charter city and <br /> municipal corporation of the State of California ("City"), and TRA Environmental <br /> Sciences Inc., which is now known as MIGITRA Environmental Sciences Inc., <br /> ("Consultant") (collectively, the "Parties") for the preparation of the California Potable <br /> Water Tank, Pump Station, and Pipeline Project Environmental Impact Report (EIR) and <br /> the completion of the CEQA process. <br /> RECITALS <br /> A. On June 28, 2012, the Parties executed a Professional Services <br /> Agreement; in the amount of$86,217.00 (the "Original Agreement"); and <br /> B. On June 27, 2014, the Parties executed Amendment No. 1 to Extend and <br /> Amend Agreement for Professional Services in the amount of $104,063.00 for a total <br /> contract amount of$190,280.00 ("Amendment No. 1"). <br /> C. On June 26, 2015, the Parties executed Amendment No. 2 to Extend and <br /> Amend Agreement for Professional Services in the amount of $18,587.00 for a total <br /> contract amount of $208,867.00 ("Amendment No. 2") (the Original Agreement, <br /> Amendment No. 1 and Amendment No. 2 are collectively referred to as "Agreement"). <br /> D. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment No. 3, the total annual Agreement amount shall not <br /> exceed Two Hundreds Forty Eight Thousands Two Hundreds and Ninety Nine dollars <br /> ($248,299.00). <br /> 2.
