EXHIBIT "A" <br /> SCOPE OF SERVICES <br /> Itemized List of what Consultant will do for City <br /> In cooperation with and at the direction of City staff and their advisors, disclosure counsel shall have <br /> the primary responsibility for (i) preparing the offering documents (preliminary official statement, <br /> official statement, offering memorandum, as applicable) (ii) preparation of the continuing disclosure <br /> undertaking, (iii) the review of any continuing disclosure undertakings reports for compliance by the <br /> City with its past undertakings and (iv) review of rating agency and investor presentations, if <br /> applicable. <br /> Disclosure counsel will also render a negative assurance letter with respect to the preparation of <br /> preliminary and final official statements relative to the issuance of bonds, in such forms and subject <br /> to such reasonable exceptions, qualifications and limitations as are customarily accepted in similar <br /> financings, as acceptable to the City and the Underwriter for the financing. <br /> REV: 04-26-16 JS <br /> Page 9 of 9 <br /> ATTY/AGR.2016.083/Sidley Austin - Disclosure Counsel One Marina <br />
