<br /> AGREEMENT
<br /> NOW, THEREFORE, the City and the Developer (together, the "Parties'� htreby agree as
<br /> follovvs:
<br /> 1. ��?QSE O�' AGREEMENT. The purpose of this Agreemcnt is to assure the
<br /> maintcnance, periodic iaspection, repair, safe operation and, if and when necessary, nplacemcnt of the
<br /> Improvements by tho Developor at it� expense in accordance with the standards, iacluding the
<br /> Maintenance Standards{defined in Section 4 below),set forth herein.
<br /> 2. IIviPROVEMENTS AS A BENEFTT. The Developer agrces that the Improvements will
<br /> �terially benefit tho Property and that Developer's maintenance,repair, safe operation and,if aad when
<br /> neces�ary, raplaccment thereof in accordance with this Agreement is necessaty for approval of the
<br /> Developer's Final Map.
<br /> 3. ��VE�.4PER'S RESPONSIBIZITIES. Developer, at its sole cxpense, shall maintain,
<br /> safely operate, periodically inspect, repair, resurface and, if and when necessary, replace the
<br /> Impmvements id�ntified in Exhibit"B", as well as perform all necessary service on maintenance
<br /> equipment, in order to cnsure the attractivc �nd he�lthy �ppcarance of the landscaping, tho amactive
<br /> arpge�rance, condition and safety of ar►y and all structures, aad the efficient operation of all of the
<br /> Improveraents, including paying the electrical expcnse of operating the pedestrian light and irrigation
<br /> controller, said elextrical expense to be paid by the Developer upon tht diroct receipt of invoices for
<br /> electrical service from Pacific Gas and Electric, �11 in accordance with the Mainteaance Standards
<br /> described in Section 4 below,and industry and City standards applicable to similar improvements.
<br /> 4. �,,�1TENANCE STANDARDS. "The following stand�rds (collectivoly, "Maintenance
<br /> Standards") shall be complied with by Developer and its maintenance staff, contractors and
<br /> subcoatractors in connecrion with the required maintenance of the Improvements:
<br /> a. Tho Improvements shall be maintained in compli�nce with the Plans and Final
<br /> Map, in good condition, and in accordance with the custom and practice generally applicable to public
<br /> rights-of-way within the City ofRedwood City.
<br /> b. Landscape maintenance shall include,but not be limited to: `vatering/irrigation;
<br /> fcrtilizatioa;periodic trimming, mowing, andlor edging of grass and lawn areas;pruning of trees, shrubs,
<br /> and other vegetarioa;trimming and shaping of troes and shrubs to maiatain a healthy,natural appearance,
<br /> safe road conditions and visibility, and irrigation coverage; removal and replacement, as needed, of all
<br /> plant materials;control of weeds in a11 planters,shrubs,lawns, ground covers,or other planted areas; and
<br /> sta.king for support of trees.
<br /> c. Clean up maintenance shall include, but not be limited to: maintcnance of a11
<br /> sidowalks, p�ths and othor paved areas in clean and weed-free condition; maintenance of all such arcas
<br /> clear of dirt,mud,trash,dobris or othcr mattcr which is uasafe or unsightly;ramoval of all trash,litttr and
<br /> other debris from improvemcnts �ad landsc�piag prior to mowing; clear�nce �nd cleaaing of all areas
<br /> maintained prior to the end of the day on wluch the mainten�nce operations are performed to ensure that
<br /> all cuttings,weods,leaves and other debris arc prop�rly disposcd of by maintenance workers.
