Except as otherwise stated, ail notices to be provided or that may be provided under <br /> this Agreement must be in writing and delivered by regu(ar and certified mail. Each <br /> party will notify the other immediately of any changes of address that wouid require any <br /> natice or delivery to be directed to another address. <br /> 17. Confliet of Interest. If disclosure under the Political Reform Act and Gity's <br /> Conflict' of Interest Code is required af Co�sultant or any of Consultant's employees, <br /> agents, or subcontractors, Consultan# or Consultant's affected employees, agents, or <br /> subcontractors will complefe and file witt� the City Glerk those schedules specified by <br /> City and contained in the Statement of Eeanomic Interests Form 700. <br /> Consu[tar�t, for Consultant and on behalf of ConsultanYs agents, employees, <br /> subcontractors and consultants warrants that by execution of this Agreement, that they <br /> have no interest, present or contemplated, in the projects affected by this Agreement. <br /> Consultant further warrants that neither Consultant, nor Gonsultant's agents, <br /> employess, subcontractors and consuJtants have any ancillary real property, business <br /> interests or ineome that will be affected by this Agreement ar, altematively, that <br /> � Consultant will file with Cify an affidavit disclosing this interest. <br /> 18. General Compliance with Laws. Consvltant will keep fully informed of federaf, <br /> state and local laws and ordinances and regulations which in any manner affect those <br /> employed by Consultant, or in any way affect the performance of the Services by <br /> Consultant. Gonsultant will at all times observe and comply with these laws, <br /> ordinances, and regulations and will be responsible for the camptiance of �onsultant's <br /> Services with all applicable laws, ordinances and regulations. <br /> 19. Discrimination and Harassmen# Rrohibited. Consuitant will comply with all <br /> applicable local, state and federal laws and regulations prohibiting discriminatian and <br /> harassment_ <br /> 20. Terminatian. In the event of the Cansultanf's failure to prosecute, deliver, oc <br /> perform the Services, City may terminate this Agreement for nonperFormance by <br /> notifying Consultarrt in writing pursuant to the notice provisians of this Agreement. <br /> If City decides ta abandon or postpane the work or services contemplated by th'rs <br /> Agreement, City may terminate this Agreement upon written notice to Consultant <br /> pursuant to the notice provisians of this Agreement. Termination will be effective <br /> immediately upon notificatian. <br /> Either Party upon tendering thirty (30) days written notice to the other par[y may <br /> terminate this Agreement. <br /> Within 10 d'ays of termination Consultanf will assemble the work product w'rfhout charge <br /> and put it in order for proper filing and closing and deliver it to City. Gonsultant will be <br /> paid for work performed up t� the termination date; however, the tota( wil( nat exceed <br /> the lump sum fee payable under this Agre�ment.
