The Wo�kers` Compensation poiicy shall cantain an endorsement stating that the insurer wa�ives any right to subrogation a�ainst the Ci#�r, its officers, agents, employees and volunteers. 14.1.4 Emqlover's Liability Insu�ance. This insurance will be in force during thre life of the Agreement and any extensions of it. Prior to City's execution of this Agreement, Cansultant shaU provide certifica#es a€insurance and aboue-referenced endorsements, sufficient to the reasonable satisfactian of City's Risk Manager, ta City. In no event shall Consultant commence any warlc or provide any Services under this Agreement until c�rtific�tes of insurance and endorsements have been accepted by City's Risk Manager. 10.3 Failure ta Maintain Covera e. tf Consu!#ant fails to comply with these insuranc� requiremenfs, then City wil( have the optivn to declare Consultant in b�each. 10.�4 Submission o� Insurance Policies. City reserves #he r�ght to require, at any time, cc�mpfete copies 4f any or all required insurance policies and endorsements. 11. Business E.icense. Consultant wi I C abtain and maintain a C�ty of Redwoad City Business �icense for the temi of the Agreement, as may be amended from time-to-time. 12, Mair�tenance af F2ecords. Consultant will mainta�n camplete and ac�ur�te r�cc�rtis with r�sp�ct to casts incu�red un�er this Agre�m�nt. AII records will be clea�ly i�lentifiable. Consultant wilt allow a representative of City during normal business haurs to examine, audit, and make transcripts or copies of rect�rds and any other documents creat�d pursu�nt to this Agreement. 13. Ownership of aocuments. Aif work product, if any, produced by Consultant or its agents, employees, and subcantractors pursuant#o this Agreement is the property of City. ln the ev�nt #his Agre�ment is terminated, aEl work produ�:t, if any, produced by �ansultant ar its agents, employees ancf subcontrac#ors pursuant tc� this Agreement wil! be delivered ta City pursuant to tF�e termi��tion clause of this Agreement.
