Conflict of Interest.Citywill evaluate Bank’s duties pursuant tothis Agreement to <br />determine whether disclosure under the Political Reform Act and City’s Conflict of <br />Interest Code is required of Bankor any of Bank’s employees, agents, or <br />subcontractors. Should it be determined that disclosure is required, Bankor Bank’s <br />affected employees, agents, or subcontractors will complete and file with the CityClerk <br />those schedules specified by Cityand contained in the Statement of Economic Interests <br />Form 700. <br />The undersigned on behalf of Bank, warrants that after a reasonable inquiry and to the <br />best of the undersigned’s knowledge, by execution of this Agreement, that (i) neither <br />Bank, nor any of Bank’s officers, agents, subcontractors or employees has any interest, <br />present or contemplated, in the projects affected by this Agreement; and (ii) that neither <br />Bank, nor its agents, employees, or subcontractors hasany ancillary real property, <br />business interests or income that will be affected by this Agreement or, alternatively, <br />that Bankwill file with Cityan affidavit disclosing this interest. <br />12. General Compliance with Laws.Bankwillkeep fully informed of federal, state <br />and local laws and ordinances and regulationsapplicable to Bankwhich in any manner <br />materially affect the performance of the Services by Bank.Bankwill at all times observe <br />and comply with theseapplicablelaws, ordinances, and regulations and willbe <br />responsible for the compliance of Bank's Services with all applicable laws, ordinances <br />and regulationsto the extent they materially affect the performance of the Services by <br />Bank. <br />ATTY/AGR/2016.186/WELLS FARGO BANKING AGREEMENT <br />6.1.H. - Page 6
