AGREEMENT BETWEEN THE SAN MATEO COUNTY

<br />CARE PARTNERSHIP COUNCIL SERVICES

<br />I. PURPOSE OF AGREEMENT
<br />
<br />THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership Council (CCPC),
<br />the Local Child Care Planning Council for San Mateo County, and entered into by and between the San
<br />Mateo County Superintendent of Schools (“County Superintendent”) as lead agency and fiscal designee
<br />and the City of Redwood City, a charter city and municipal corporation of the State of California (“City”)
<br />for the purpose of funding costs for activities in support of the Child Care Partnership Council.
<br />
<br />The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for the Child Care
<br />Partnership Council. The City has been selected by the County Superintendent to receive funds in order
<br />to provide the services detailed in the attached Scope of Work (Attachment A) in support of the work of
<br />the Child Care Partnership Council. Funding for this agreement is contingent upon completion of all
<br />required responsibilities (See Sections 2 and 3 below) in a manner that is both timely and in compliance
<br />with the terms of the Agreement.

<br />II. COUNTY SUPERINTENDENT’S RESPONSIBILITIES
<br />
<br />It is agreed between the County Superintendent of Schools and the City as follows:
<br />
<br />1. Term of Agreement
<br />The term of this Agreement shall be from July 1, 2016 to June 30, 2017.
<br />
<br />2. Payments
<br />The County Superintendent shall issue payment to the City in an amount not to exceed seventy three
<br />thousand seven hundred seventy two dollars ($73,772) for the Services (this is broken down as follows:
<br />personnel costs $72,07and other expenses of $1,700). Personnel costs are charged at $69.30 hourly for
<br />1,040 hours (equivalent to .50 FTE for 52 weeks). Payments will be made to City on a quarterly basis
<br />for actual expenditures and based upon invoices submitted to the County Superintendent by City and
<br />in accordance with the Budget (Attachment B). Any change in this agreement will occur only upon
<br />mutual written agreement of both Parties.

<br />3. Hold Harmless
<br />The County Superintendent shall defend, indemnify, and save harmless the City, its council, boards,
<br />commissions, officers, employees and agents, from and against any and all claims, suits, actions
<br />liability, loss, damage, expense, cost (including, costs and fees of litigation) of every nature, kind or
<br />description, which may be brought against, or suffered or sustained by City, its council, boards,
<br />commissions, officers, employees or agents to the extent such claims, suits, actions, liability, loss,
<br />damage, expense, cost (including costs and fees of litigation) of every nature, kind or description which
<br />may be brought against, or suffered or sustained by City, its council, boards, commissions, officers,
<br />employees or agents are caused by the negligent act or omission, intentional tortious act or omission,
