COA is the current fee owner of that certain real property consisting of <br /> approximately 4.82 acres located within the City of Redwood City, County of San Mateo, State <br /> of California, described in Exhibit A, attached hereto and incorporated herein by reference (the <br /> "Property"). COA has appointed OAI as its agent in connection with obtaining the necessary <br /> governmental approvals for the proposed development of the Property, including, without <br /> limitation, the approvals specified below, and to undertake on behalf of COA all actions relating <br /> to such development. Further, COA intends to convey the Property to OAI once such approvals <br /> have been obtained so that OAI shall proceed with constructing improvements on and operating <br /> the Property. <br /> B. On May 3, 2016,the Planning Commission of the City of Redwood City adopted, <br /> among other approvals, Resolution No. 16-07, approving the Tentative Map for the 275 Oracle <br /> Parkway Project ("Pmject"), prepared by BKF Engineers and Surveyors and dated April 19, <br /> 2016 ("Tentative Map"),subject to certa.in conditions of approval("Conditions"). <br /> C. The Conditions require either(1)that certain public improvements for the Project <br /> be constructed prior to approval of the parcel map ("Parcel Map"), or (2) that Developer enter <br /> into an agreement with City providing for the future construction of certain public improvements <br /> for the Project. <br /> . D.
