Reference is made to that certain real property situated in the City of Redwood City, <br /> County of San Mateo, State of California, described on Exhibit "A-1", attached hereto and <br /> incorporated by this reference as if fully set forth herein(the"Property"). COA is the current fee <br /> owner of the Property,and a portion of the Property known as the 275 Oracle Parkway site is being <br /> developed as a charter school project, which portion is described on Exhibit "A-2" (the "School <br /> Site Portion of the Property"). COA has appointed OAI as its agent in connection with obtaining <br /> the necessary governmental approvals for such development, and COA intends to convey the <br /> School Site Portion of the Property to OAI once such approvals have been obtained. Further, <br /> Oracle owns the parcel of land that lies adjacent to the Property to the east thereof(the"Adjacent <br /> Property"), as more particularly described in E�ibit "A-3", attached hereto and incorporated <br /> herein by this reference as if fully set forth herein. The development of the school project will <br /> require construction of improvements on the School Site Portion of the Property as well as other <br /> portions thereof and portions of the Adjacent Property, and this Agreement is being recorded <br /> against the entirety of the Property and the Adjacent Property, all as described on Exhibit"A-4", <br /> attached hereto and incorporated by this reference as if fully set forth herein,in recognition of such <br /> requirement. <br /> B. In connection with its development of the school project, OAI on behalf of COA <br /> (and with the approval of Oracle) submitted to the City Oracle Educational Facility Sitework and <br /> Foundation Permit plans, which include, inter alia, landscaping plans for along the Property <br /> frontage and a portion of the Adjacent Property("Plans"), all of which Plans have been approved <br /> ATTY/AGR/2016.158/CENTRUM OWNERS ASSOCIATION-LMA <br /> REV:06-22-16JS <br /> Page 1 of 10 <br />
