City understands that <br /> ConsunanYs performance must be govemed by sound practices. <br /> 5. Time is of the Essence. Time is of the essence for each and every <br /> provision of this Agreement. <br /> 6. Compensation. The to#al fee pay_able for the Services to be perFormed <br /> during the initial tertn of this Agreeme�rt wiil be Twenty Four Thousand Seven Hundred <br /> Dollars ($24,700.00). No other canpensation for the Services will be ailowed except`for <br /> items covered by sut�,sequent amendments to this Agreement. City has the authority to <br /> withhold a 10% per+cent retent�on until City has accepted aD of the services specified in <br /> Exhibit "A." Incremental payments� if appiicable� wiii be rinade as outlined in attached <br /> Exhibit"A." <br /> 6.1 An appiicati�or► for paymerrt form must be submitted to City which <br /> shall include the foilowing: a Gear, detailed inyoice reflecting work being biiled <br /> for, a summary sheet showing hourly rates, hours woriced, percer�tage of v�rork <br /> completed to date, amount/percent billed to date and cunent status of all tasks <br /> within a project; any/ail backup documenta�on supporting the above items.Work <br /> schedule updates must also be included'with the payment requests. <br /> 6.2 Consultant shap maintain adequate recorcls and shall pennit <br /> inspection and audit by City of Consulfa�'s charges under this Contract. <br /> Consultant shall make such recards available to City during nonnal business <br /> hours upon reasonable notice. Nothing herein shali convert'such records into <br /> public records� and they wiil be availatils;only to City and any speciFied pubiic <br /> agencies. Such re000ds ghail be main�ained by Consuitan# for one (1) year <br /> following compietion of the work under tHis Confract uniess a longer period of <br /> �me is required by state or federai law, in which event Consuitant shall retain its <br /> recorcls for the time required by such laws. <br /> 6.3. The payment made to Consultant pursuant to the Agreement will be <br /> the full and complete compensation fo which Consultant is entitled. City will not <br /> make any federal or state tax withholdings on I�half of Consultarrt or its agents, <br /> employees ar subcontractors. City �nnrill not be,required to pay any woorkers' <br /> compensation insurance or unempioyment oontributions on beha#f of ConsultaM <br /> or its employees or subc�ntractors.
