and approvals which are legally required of Contractor to practice its profession.
<br />Contractor shall maintain a City of Redwood City business license, if required under
<br />City ordinance.
<br />
<br />18.5 Contractor shall comply with all the rules and regulations of the State of
<br />California, Department of Transportation ("Caltrans") for Red Light Devices.
<br />
<br />19.0 CONFLICT OF INTEREST
<br />
<br />19.1 Contractor confirms that it has no financial, contractual, or other interest or
<br />obligation that conflicts with or is harmful to performance of its obligations under this
<br />Agreement. Contractor shall not during the term of this Agreement knowingly obtain
<br />such an interest or incur such an obligation, nor shall it employ or subcontract with any
<br />person for performance of this Agreement who has such incompatible interest or
<br />obligation.
<br />
<br />19.2 The Contractor, its agents and employees shall comply with all applicable
<br />Federal, State, and local laws and regulations governing conflict of interest. To this
<br />end, Contractor shall make available to its agents and employees copies of all
<br />applicable Federal, State, and local laws and regulations governing conflict of interest.
<br />
<br />20.0 FAIR LABOR STANDARDS
<br />
<br />Contractor shall comply with all applicable provisions of the Federal Fair Labor Standards
<br />Act, and shall indemnify, defend, and hold harmless City, their officers, employees and
<br />agents from any and all liability, including, but not limited to, wages, overtime pay, and
<br />penalties, arising under any wage and hour law, including but not limited to, the Federal
<br />Fair Labor Standards Act, for work performed by Contractor's employees.
<br />
<br />21.0 NONDISCRIMINATION AND AFFIRMATIVE ACTION
<br />
<br />21.1 Contractor certifies and agrees that all persons employed by it, its affiliates,
<br />subsidiaries, or holding companies are and will be treated equally without regard to or
<br />because of race, creed, color, religion, ancestry, national origin, sexual orientation, sex,
<br />age, condition of physical or mental handicap, marital status, or political affiliation, in
<br />compliance with all applicable Federal and State anti-discrimination laws and regulations.
<br />
<br />21.2 Contractor shall certify, at City request, that it is in full compliance with all
<br />applicable EEO rules and laws.
<br />
<br />21.3 Contractor shall take affirmative action to ensure that applicants are employed,
<br />and that employees are treated during employment, without regard to race, creed, color,
<br />religion, ancestry, national origin, sexual orientation, sex, age, condition of physical or
<br />mental handicap, marital status, or political affiliation, in compliance with all applicable
<br />Federal and State anti-discrimination laws and regulations. Such action shall include, but
